LICENSE AGREEMENT

USE OF THIS CD-ROM AND THE SOFTWARE AND DOCUMENTATION IT CONTAINS (COLLECTIVELY REFERRED TO AS "MATERIALS") IS SUBJECT TO THE LICENSE TERMS SET OUT BELOW. YOU MAY USE, RUN, COPY, DOWNLOAD, UNZIP OR INSTALL THE MATERIALS ONLY IF YOU AGREE AND ACCEPT THE LICENSE TERMS. IF YOU DO NOT AGREE, YOU ARE NOT AUTHORIZED TO USE, RUN, COPY, DOWNLOAD, UNZIP OR INSTALL THE MATERIALS .

Copyright License

· If you are an Original Equipment Manufacturer, reseller, distributor, installer, integrator, or other entity in the business of providing computer hardware products in the chain of manufacture or distribution to End Users: You are granted a limited copyright license to distribute the CD-ROM to others in the chain of manufacture or distribution to End Users. You may only distribute the CD-ROM one-for-one with the Intel server board or system for which the Materials were provided as indicated on the CD-ROM's label, and not as a stand-alone item. (2) You may not (a) modify, publicly display, perform, (b) decompile, reverse engineer or disassemble the Materials except and only to the minimum extent permitted by applicable law in your jurisdiction, (c) remove any copyright or other proprietary notices from the CD-ROM or Materials, or (d) distribute the Materials in any format other than on this Intel CD-ROM as stated above.

· If you are an End User (that is, you have acquired the computer product for which the Materials are provided primarily for your own use and not for redistribution or resale): You are granted a limited copyright license to copy the Materials onto a computer system which includes the Intel server board for which the Materials were provided as indicated on the CD-ROM's label, and to use the Materials for archival or recovery purposes. You may not (1) modify, publicly display, perform, sublicense, sell, lend, rent or lease the Materials, (2) disassemble, decompile or reverse engineer the Materials except and only to the minimum extent permitted by applicable law in your jurisdiction, (3) remove any copyright or other proprietary notices from the Materials, and (4) transfer the Materials to another person or entity unless (a) you also transfer the Intel server board or system for which the Materials were provided as indicated on the CD-ROM's label, (b) your transferee agrees to be bound by the terms of this license, and (c) you retain no copies.

Third Party Materials: If any third party software or documentation is provided as part of the Materials, your use of such software or documentation shall be subject to the terms and conditions of a written license agreement, if any, accompanying those third party items.

Ownership of Materials and Copyright. Title to all copies of the CD-ROM artwork and Materials remains with Intel or its suppliers. The artwork and Materials are copyrighted and are protected by the laws of the United States and other countries, and international treaty provisions. Intel may make changes to the Materials or to items referenced therein, at any time without notice, but is not obligated to support or update the Material. Except as expressly provided herein, Intel grants no express or implied right under any Intel patents, copyrights, trademarks, trade secret information or other intellectual property rights, nor shall any such right arise by operation of law.

Termination of this License. Intel may terminate this license at any time if you are in breach of the terms. Upon termination, you will immediately destroy the CD-ROM and delete the Materials from your computer and any storage device .

DISCLAIMER: THE CD-ROM AND MATERIALS ARE PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL INTEL OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE CD-ROM OR MATERIALS, UNDER ANY THEORY OF LIABILITY, EVEN IF INTEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. Intel and its suppliers further do not warrant the accuracy or completeness of the information, text, graphics, links or other items contained within the CD-ROM or Materials. Intel may make changes to the CD-ROM, the Materials, or to the products described therein, at any time without notice.

U.S. GOVERNMENT RESTRICTED RIGHTS: The Materials are provided with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 et seq. or its successor. Use of the Materials by the Government constitutes acknowledgment of Intel's proprietary rights in them.

APPLICABLE LAWS: You may not use or export the Materials in violation of U.S. export laws and regulations. The internal substantive laws of the State of Delaware shall govern any claim relating to the Materials.
